Terms of Service

These Terms of Service ("Terms") govern your access to and use of the F7 Business Suite platform ("Service") provided by F7 Software Inc ("Company", "we", "us", or "our"), located at 6934 Oak Ridge Commerce Way, United States. F7 Business Suite is a product of F7 Software Inc. By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

2. Subscription and Billing

The Service is provided on a subscription basis. Subscription fees are billed monthly or annually in advance. All fees are non-refundable except as expressly stated in these Terms. We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.

3. Data Isolation

Each customer receives a dedicated, isolated database. Your data is logically separated from other customers' data and is accessible only through your authenticated account. We do not access, use, or share your data except as necessary to provide the Service or as required by law.

4. Your Data

You retain all rights to your data. You grant us a limited license to host, store, process, and transmit your data solely to provide the Service. We will not sell, rent, or share your data with third parties for their marketing purposes. Upon termination, you may export your data within 30 days. After 30 days, we may delete your data in accordance with our data retention policies.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the Service or servers connected to the Service; (d) transmit any viruses, malware, or other malicious code; (e) use the Service to store or transmit content that infringes on the intellectual property rights of others; or (f) resell or sublicense the Service without our written consent.

6. Service Availability

We work to keep the Service available at all times, but we do not guarantee uninterrupted availability. We will provide reasonable advance notice of scheduled maintenance, and scheduled maintenance windows will be planned to minimize disruption. In the event of a material service disruption, we may issue service credits at our discretion.

7. Backups and Data Recovery

We perform daily automated backups of all customer databases with a 30-day retention period. While we take reasonable precautions to protect your data, you are responsible for maintaining your own backups of critical business data. We are not liable for data loss resulting from your failure to maintain adequate backups.

8. Intellectual Property

The Service, including all software, algorithms, interfaces, documentation, and branding, is the exclusive property of F7 Software and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service during the subscription term.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, F7 SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO F7 SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless F7 Software and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

11. Termination

Either party may terminate the subscription at any time with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Sections relating to data ownership, limitation of liability, and indemnification survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Indiana, United States, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Indiana.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
